CANCELLATION AND REFUND POLICY

INTRODUCTION

This Cancellation and Refund Policy ("Policy") outlines the terms and conditions governing cancellations and refunds for services provided by Yuvo AI Private Limited ("Yuvo AI", "we", "us", or "our"), CIN: U62099DL2024PTC434162, an Indian private limited company with its registered office at H NO E-115-B G/F R/P AB, NEAR HARI KOTHI/2 HOUSE, Jamia Nagar, New Delhi, South Delhi- 110025, Delhi and operating via https://yuvoai.org/. This Policy is incorporated by reference into our Terms of Service and should be read in conjunction with those Terms.

CANCELLATION POLICY

Contract-Based Services

  1. Termination for Convenience: Either party may terminate a Project Agreement for convenience upon thirty (30) days written notice to the other party, unless otherwise specified in the Project Agreement.

  2. Early Termination Payment: In the event of termination for convenience by Client, Client shall be liable for payment for Services performed and expenses incurred up to the effective date of termination, as detailed in the Project Agreement.

Subscription-Based Services and SaaS Offerings

  1. Subscription Period: The subscription period will be as specified in the chosen subscription plan (e.g., monthly, quarterly, or annual).

  2. Cancellation Process: Client may cancel their subscription at any time through their account settings or by contacting us at [email protected]. Cancellation will take effect at the end of the current subscription period.

  3. Auto-Renewal: Subscriptions will automatically renew at the end of the then-current subscription period unless Client cancels the subscription prior to the renewal date.

  4. No Partial Period Cancellation: Cancellations take effect at the end of the current billing period. We do not prorate subscriptions for partial periods.

Vertical-Specific B2B SaaS Offerings

  1. Industry-Specific Solutions: For our specialized vertical SaaS solutions (finance, healthcare, legal, retail, manufacturing, and professional services), cancellation terms follow the same subscription-based cancellation policy outlined above, unless specifically amended or supplemented with vertical-specific licensing terms as stated in your Project Agreement.

  2. Custom Implementation: Where custom implementation has been provided, additional terms regarding wind-down of services may apply as specified in the Project Agreement.

REFUND POLICY

  1. No Refunds: Unless expressly stated otherwise in a Project Agreement or subscription plan, all Fees paid to Yuvo AI are non-refundable.

  2. Contract-Based Services: For contract-based services, payment for completed work is non-refundable regardless of termination reason.

  3. Subscription Services: For subscription-based services, we do not provide refunds for partial subscription periods or for unused portions of your subscription period after cancellation.

  4. Vertical-Specific Offerings: Industry-specific vertical SaaS offerings follow the same no-refund policy mentioned herein or as amended or supplemented by part or in total pertaining to the actual industry-specific policy regulations, compliance requirements, and standard commercial practices within the respective vertical as documented in your Project/Product Agreement and legal disclosures and any applicable Vertical-Specific Terms and Conditions.

  5. Exceptions: In exceptional circumstances, Yuvo AI may, at its sole discretion, issue partial refunds. Any such refund would be assessed on a case-by-case basis and does not constitute a waiver of this Policy for future situations. Such refunds may take 5 to 10 business days to process.

EFFECTS OF CANCELLATION

Upon cancellation or termination:

  1. End of Access: All rights and licenses granted to Client shall immediately terminate at the end of the applicable service or subscription period.

  2. Cease of Use: Client shall cease all use of the Services.

  3. Confidential Information: Client shall return or, at Yuvo AI's option, destroy all Confidential Information of Yuvo AI in its possession or control.

  4. Outstanding Payments: Client shall pay any outstanding Fees and expenses due to Yuvo AI for Services performed up to the date of termination.

  5. Data Retrieval: Client is responsible for extracting any data they wish to retain prior to the effective cancellation date. After this date, Yuvo AI may delete Client data in accordance with our Privacy Policy and applicable laws.

TERMINATION FOR BREACH

Yuvo AI may terminate services immediately upon written notice if:

  1. Client fails to pay Fees when due;

  2. Client violates the Terms of Service regarding Use of Services or Client Data and Confidentiality;

  3. Yuvo AI is required to do so by law; or

  4. Yuvo AI ceases to offer the Services generally.

In case of termination for breach, the no-refund policy applies, and Client remains liable for any outstanding payments.
